EMI Group Limited (formerly EMI Group plc until 2007; originally an initialism for Electric and Musical Industries, also referred to as EMI Records or simply EMI) was a British transnational conglomerate founded in March 1931 in London. At the time of its acquisition by Universal Music in 2012, it was the fourth largest business group and record label conglomerate in the music industry, and was one of the "Big Four" record companies (now the " Big Three"). Its labels included EMI Records, Parlophone, Virgin Records, and Capitol Records, which are now referenced under Universal Music due to their acquisition with the exception of Parlophone, as it is now owned by Warner Music. Virgin Records is a British record label owned by Universal Music Group. They were originally founded as a British independent record label in 1972 by entrepreneurs Richard Branson, Simon Draper, Nik Powell, and musician Tom Newman (musician), Tom Newman. EMI Music Publishing Ltd. is a British multinational music publishing company headquartered in London, owned by Sony Music Publishing. In May 2018, Sony Music Publishing agreed to increase its stake in EMI to 90%, pending regulatory approval. Sony has agreed to pay $2.3 billion to acquire EMI, as well as assume EMI's debt of $1.359 billion. In July 2018, Sony bought out the Michael Jackson estate's 10% stake in EMI for $287.5 million. With Sony and Jackson's share valued at $1.091 billion that gives EMI Music Publishing a valuation of $4.75 billion. On 26 October 2018, the European Commission approved of Sony's acquisition of EMI. Parlophone Records Limited (also known as Parlophone Records and Parlophone) is a record label founded in Germany in 1896 by the Carl Lindström Company as Parlophon. The British branch of the label was founded on 8 August 1923 as the Parlophone Company Limited (the Parlophone Co. Ltd.), which developed a reputation in the 1920s as a jazz record label. EMI Classics was a record label founded by Thorn EMI in 1990 to reduce the need to create country-specific packaging and catalogues for internationally distributed classical music releases. After Thorn EMI demerged in 1996, its recorded music division became the EMI Music Group. Following the European Commission's approval of the takeover of EMI Music Group by Universal Music Group in September 2012, EMI Classics was listed for divestment. The label was sold to Warner Music Group, which absorbed EMI Classics into Warner Classics in 2013. Columbia Graphophone Co. Ltd. was one of the earliest gramophone companies in the United Kingdom. Founded in 1917 as an offshoot of the American Columbia Phonograph Company, it became an independent British-owned company in 1922 in a management buy-out after the parent company went into receivership. In 1925, it acquired a controlling interest in its American parent company to take advantage of a new electrical recording process. The British firm also controlled the US operations from 1925 until 1931.
